Welcome to the Beinc website. These Website Terms of Use (“Terms”) govern your access to and use of the Site, which is operated by Cnieb Pty Ltd (ABN 61 245 004 967), trading as Beinc. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.

These Terms apply to your use of the Site only. If you engage Beinc to provide services, the specific terms of that engagement will be set out in a separate proposal, statement of work, or services agreement signed by you and us (a “Services Agreement”). In the event of any inconsistency between these Terms and a Services Agreement, the Services Agreement prevails to the extent of the inconsistency.

1. Acceptance of Terms

By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms, including any future modifications. Beinc may modify these Terms at any time, and any changes take effect when the updated Terms are posted on the Site. Your continued use of the Site after a change is posted constitutes your acceptance of the updated Terms. You should review these Terms periodically.

2. Eligibility

To use the Site, you must be at least 18 years of age, or accessing the Site on behalf of a business or organisation that you are authorised to represent. By using the Site, you warrant that you meet these requirements.

3. Intellectual property

All content on the Site, including text, graphics, logos, icons, images, photographs, videos, audio, designs, layouts, and underlying code, is owned by or licensed to Beinc and is protected by copyright, trademark, and other intellectual property laws.

You may view, download, and print content from the Site for your personal, non-commercial reference, provided you do not modify the content and you keep all copyright and other proprietary notices intact. Any other use, including reproduction, distribution, public display, adaptation, or commercial use of any content on the Site, requires our prior written permission.

Nothing on the Site grants you any right or licence to use any trade mark, trade name, logo, or service mark displayed on the Site without our prior written consent.

4. Acceptable use

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any other person. In particular, you agree not to:

  • Use the Site for any unlawful, fraudulent, or harmful purpose;
  • Interfere with or disrupt the operation of the Site, the servers or networks used to make the Site available, or any other user’s use of the Site;
  • Attempt to gain unauthorised access to any part of the Site, any account, system, or network connected to the Site;
  • Use any automated means, including robots, scrapers, or data-mining tools, to access, monitor, or copy any part of the Site without our prior written consent;
  • Upload, transmit, or distribute any material that contains viruses, malware, or other harmful code;
  • Violate the intellectual property, privacy, or other rights of any person.

5. Proposals and engagement of services

Information on the Site about Beinc’s services is for general information only and does not constitute an offer to provide services on any specific terms. The specific terms of any engagement between you and Beinc, including scope of work, deliverables, timelines, fees, payment terms, warranties, intellectual property ownership, confidentiality, and termination, will be set out in a separate Services Agreement signed by both parties.

6. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any guarantee, warranty, right, or remedy that you may have under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other applicable law, that cannot lawfully be excluded, restricted, or modified.

7. Limitation of liability

The Site and the information on it are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Beinc makes no representations or warranties of any kind, express or implied, about the accuracy, completeness, reliability, suitability, or availability of the Site or its content.

To the maximum extent permitted by law, and subject to Section 6, Beinc will not be liable for any direct, indirect, incidental, consequential, special, or punitive loss or damage, including loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your access to or use of, or inability to access or use, the Site.

This Section 7 does not apply to liability arising under a Services Agreement, which is governed by that agreement.

8. Third-party websites and links

The Site may contain links to websites operated by third parties. These links are provided for your convenience only. We do not endorse, and we are not responsible for the content, products, services, or practices of any third-party website. Your access to and use of any third-party website is at your own risk and is subject to the terms and policies of that website.

9. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, hold, and disclose personal information. Our Privacy Policy is available at www.beinc.com.au/privacy-policy.

10. Availability of the Site

We aim to keep the Site available at all times, but we do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components. We may, at any time and without notice, modify, suspend, or discontinue all or part of the Site.

11. Suspension or termination of access

Beinc may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have breached these Terms or engaged in any conduct that we consider to be harmful to Beinc, other users, or any third party. Termination of your access to the Site does not affect any rights or obligations that have accrued before termination.

12. Indemnity

To the maximum extent permitted by law, you indemnify Beinc and our directors, officers, employees, contractors, and agents against any claim, loss, liability, damage, cost, or expense (including reasonable legal costs) arising out of or in connection with your breach of these Terms or your unlawful or negligent use of the Site.

13. Governing law and jurisdiction

These Terms are governed by the laws of Queensland, Australia. You and Beinc submit to the exclusive jurisdiction of the courts of Queensland, Australia, and the courts competent to hear appeals from them, in relation to any dispute arising out of or in connection with these Terms or your use of the Site.

14. Severability

If any provision of these Terms is held to be invalid, unenforceable, or illegal for any reason, that provision will be severed and the remaining provisions will continue in full force and effect.
